Terms of service

These terms apply to the hosted Zebu service at zebu.work, provided by Alan Woo, Leuschnerdamm 13, 10999 Berlin, Germany, VAT ID DE271198063 (the provider: “I” or “Zebu”).

1. For businesses only

Zebu is for businesses, including freelancers and sole traders. By creating a workspace you confirm that you use Zebu for your trade, business or profession. Consumers may not use Zebu.

Your own general terms do not apply, even if I do not object to them.

2. Account and workspace

You create a workspace with an owner account. The owner acts for the business and can invite team members and make them admins.

Give me correct details and keep your sign-in details safe. You are responsible for what happens in your workspace and for your team’s use of it.

3. Plans

Free: 1 seat, 2 active projects, 2 invoices a month and unlimited clients. Free of charge.

Pro: €5 per seat a month, billed yearly at €60 per seat a year. Unlimited seats and unlimited projects.

Prices exclude VAT. VAT is added where it applies. To protect Zebu’s email reputation, I limit how many emails a workspace can send to its clients each day. Today that is 25 on Free and during the trial, and 200 on Pro.

4. Free trial

A new workspace can try Pro for 30 days. The trial needs a saved payment method, such as a card. Saving it costs nothing.

I never charge you automatically when the trial ends. Pro starts only if you activate it yourself on the billing page. Otherwise the workspace moves to the Free plan when the trial ends, with all its data. I remind you by email 7, 3 and 1 days before the end.

There is one trial per customer. If the owner’s email or the payment method was used for a trial before, the new workspace starts on Free.

5. Payment

Pro is paid a year in advance through my payment provider, Stripe. The subscription renews each year until you cancel it. You receive an invoice for every payment.

If a payment fails and cannot be collected, the workspace moves to the Free plan. Your data is kept.

6. Seats

Pro is charged for each active team member. When you add a member, I charge the remaining part of the year pro rata. When you remove one, the unused part is credited against your next yearly payment. Small amounts may be collected with the next invoice.

7. Cancellation and refunds

You can cancel Pro at any time on the billing page. Pro ends at once, and the workspace moves to Free.

I refund the unused part of the year pro rata, minus the payment processing fee Stripe kept for the original charge. The billing page shows the exact amount before you cancel.

You can also delete your workspace at any time. A running subscription is then cancelled with the same refund.

8. Unused free workspaces

I delete a workspace without a paid subscription after 180 days in which nobody signs in or uses it. Before that, I email the owner three times: 30, 7 and 1 days before deletion. Any use in the meantime stops the deletion.

9. Your data

Your data stays yours. You give me the right to store, process and show it only to provide Zebu to you.

You can export all your data at any time, on every plan. When you delete your workspace, I delete its data as described in the privacy policy.

10. Data protection

For personal data in your workspace, the data processing agreement applies. It is part of these terms. The privacy policy explains how I handle data as controller.

11. Acceptable use

Do not use Zebu to:

If you break these rules, I may suspend your workspace. Where possible, I warn you first and give you time to fix the problem. You can still export your data.

12. Availability

I work to keep Zebu running at all times, but I do not promise a fixed availability (no SLA). I announce planned maintenance in advance.

I keep improving Zebu and may change features. I will not remove a core function of your paid plan during the term you have paid for.

13. If Zebu is discontinued

If I decide to discontinue Zebu, I will tell the owner of every workspace by email at least 6 months before the service ends.

You can export all your data throughout that period. I refund any prepaid time you cannot use, pro rata.

14. Liability

I am liable without limit for intent and gross negligence, for injury to life, body or health, under the Product Liability Act, and where I have given a guarantee.

For simple negligence, I am liable only for breach of an essential contractual obligation, one that makes the contract possible and on which you may rely. My liability is then limited to the damage that is foreseeable and typical for this kind of contract.

These limits also apply to people who act on my behalf.

15. Changes to these terms

I may change these terms. I email the owner at least 30 days before a change takes effect. If you do not agree, you can cancel before then and receive the refund described above. If you keep using Zebu after that date, the new terms apply. I will point this out in the email.

16. Law and courts

German law applies. The UN Convention on Contracts for the International Sale of Goods does not apply.

If you are a merchant, a legal entity under public law or have no general place of jurisdiction in Germany, the courts of Berlin have jurisdiction.

17. Final provisions

If a clause of these terms is invalid, the rest stays valid. The invalid clause is replaced by the statutory rule.
